END-USER LICENSE AGREEMENT

IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Red-Cipher for this software product, which includes computer software and may include associated media, printed materials, "online" or electronic documentation, and Internet-based services ("Product"). YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA BY INSTALLING, COPYING, OR OTHERWISE USING THE PRODUCT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE PRODUCT.

OWNERSHIP. The Product is proprietary to Red-Cipher. The Product is licensed, not sold, to you notwithstanding any reference herein to "purchases." You acknowledge and agree that: (a) the Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties; (b) Red-Cipher retain all copyrights and other intellectual property rights in the Product; (c) there are no implied licenses under this EULA, and any rights not expressly granted to you hereunder are reserved by Red-Cipher; (d) you acquire no ownership or other interest (other than your license rights) in or to the Product; and (e) Red-Cipher owns all copies of the Product, however made. You agree that you will not, at any time, contest anywhere in the world Red-Cipher''s ownership of the Product, nor will you challenge the validity of Red-Cipher''s rights in the Product. You have no rights hereunder to use any trademark or service mark belonging to Red-Cipher.

GRANT OF LICENSE. Red-Cipher grants you the following rights provided that you comply with all terms and conditions of this EULA:
* Installation and personal use. You may install and use the Product on an unlimited number of computers.
* Distribution. You may distribute an unlimited number of copies of the Product provided that each copy shall be a true and complete copy.

TERMINATION. Without prejudice to any other rights, Red-Cipher may cancel this EULA if you do not abide by the terms and conditions of this EULA, in which case you must destroy all copies of the Product and all of its component parts.

LIMITATION ON MODIFICATION, REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY. You may not modify, reverse engineer, decompile, or disassemble the Product, except and only to the extent that it is expressly permitted by applicable law notwithstanding this limitation.

LIMITED LIFETIME WARRANTY. Red-Cipher warrants that the Product will perform substantially in accordance with the accompanying documentation for the lifetime of the Product. This Limited Lifetime Warranty applies to valid Ultimate license only.

CUSTOMER REMEDY. Red-Cipher''s entire liability and your exclusive remedy shall be, in Red-Cipher''s sole discretion, return of the price paid. This Limited Lifetime Warranty is void if you are unable to make an valid claim or your license is no longer valid due to non-payment or cancellation or any other action or inaction on your part.

NO OTHER WARRANTIES. YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PRODUCT IS AT YOUR SOLE RISK AND THAT THE PRODUCT IS PROVIDED AS IS AND WITH ALL FAULTS. RED-CIPHER, ITS SUBSIDIARIES AND AFFILIATES, AND ITS LICENSORS MAKE NO OTHER WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OF THE PRODUCT REMAINS WITH YOU.

NO LIABILITY FOR DAMAGES. IN NO EVENT SHALL RED-CIPHER BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE PRODUCT, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATON, SOFTWARE, AND RELATED CONTENT THROUGH THE PRODUCT OR OTHERWISE ARISING OUT OF THE USE OF THE PRODUCT, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS EULA, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY OF RED-CIPHER, AND EVEN IF RED-CIPHER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
